End User License Agreement (EULA)

Below is the End User Licence agreement between the User and CVQuest please take the time to read all the terms and all supporting documents.
1 Definitions
Definitions for terms used in this document can be viewed at the Definitions Document
2 Privacy Policy
The Privacy Policy is provided by CVQuest and is intended to Provide users with all the information that is needed to understand the Personal Data that CVQuest may have regarding Users, please see the Privacy Policy.
3 Licence
3.1 Grant Of Licence
Subject to the terms and conditions as set out in the Documentation, CVQuest hereby grants to The Member a non-exclusive license to use the Products and Services directly, only as specifically provided in the Terms Setout in the Documentation.
3.2 Licence
The intended use of this platform is to connect Candidates and Employers such that members can find jobs or find staff to fulfil a job requirement
(legal job as per your respective territory),
CVQuest is licenced to the Member based on the payment schedule, that may be updated from time to time.
Both the Pricing and period remain subject to Change.
The Licence granted to use the Services of CVQuest are non-exclusive and Nontransferable and subject to the terms and conditions Setout in the Documentation.
Candidates are licenced to use the Platform and Services only to find Legal employment within the territory that they are legally allowed to work,
the licence is allocated as per the Payment Schedule for a defined period of time which remains subject to change. Candidates may not use the
platform for any other purpose than the licence allows.
Employers are licenced to use the Platform and Services only to find candidates who are legally allowed to work within the territory,
Employers are also Licences only for a territory where they are legally allowed to employ staff and operate a business,
the licence is allocated as per the Payment Schedule for a defined period of time which remains subject to change.
Employers may not use the platform for any other purpose than the licence allows.
Members are only allowed a Single Licence per entity.
4 Intellectual Property
4.1 Intellectual Property Ownership
CVQuest alone (and its licensors, where applicable) shall own all right, title and interest, including all related Intellectual Property Rights, in and to CVQuest, the Portal, the Services, The Documentation, the Software, the Technology, and any suggestions, ideas, enhancement requests, feedback, recommendations or other information provided by any party relating to the Service. This Agreement is not a sale and does not convey to any entity any rights of ownership in or related to the Service, the CVQuest Technology or the Intellectual Property Rights owned by CVQuest. The CVQuest name, logo, trademarks, and the product names associated with the Service are trademarks of CVQuest or third parties, and no right or license is granted to use them.
4.2 Trademark
CVQuest, the Brand and its logos are trademarked, Except as Setout explicitly in this agreement no User or any of its affiliates shall have the right to use any of the Trademarks, Trade Names or logos of CVQuest or its affiliates, nor any adaption thereof, Nor the Names of any of the Employees or Consultants of CVQuest or its affiliates without the prior written consent from CVQuest. 4.3 Copyrights
CVQuest is the owner of all right, title, and interest in and to each of the Copyrights, free and clear of all Liens and other adverse claims. All the Copyrights have been registered and are currently in compliance with formal requirements, are valid and enforceable, and are not subject to any maintenance fees or taxes or actions falling due within ninety days after the date of the Closing. 5 Warranties
CVQuest makes no representation or warranty that the services and or platform will be uninterrupted or error-free,
and provides the services and or Platform on and “As Is” and “As Available” bases.
CVQuest makes no representation or Warranty of the Quality or Quantity of presented opportunities for members,
CVQuest do not verify Candidate information nor do they Verify any Employer information presented.
As per the Terms Setout in all Documentation, Members are entirely responsible for the accuracy of
the Data being submitted as well as checking and verifying the accuracy of the data being viewed.
CVQuest are in no way responsible for a bad placement or a bad candidate.
6 Changes and Updates
The EULA, Terms of service and other Documentation are living documents, and as such are subject to change from time to time. All changes will be published directly on the CVQuest Website here and all and any Changes will be effective and enforceable immediate on the published date.
7 Termination and Suspension
7.1 Termination of Services
Both the Member and CVQuest may terminate this Contract at any time with notice to the other. On termination, The Member loses the right to access the Platform and or use the Services. The following shall survive termination:
- CVQuests rights to use and disclose any Members feedback;
- Members rights to further re-share User Data and information shared by another member through the Platform and or Services prior to termination;
- Any amounts owed by either party prior to termination remain owed after termination.
7.2 Suspension of Services
CVQuest may suspend the Services of any user for the breach of this EULA or other Documents Setting the guidelines for Use of the CVQuest Platform.
If A suspension has Occurred, the User may Contest this by sending the reasons through to CVQuest to adjudicate the Suspension.
8 Force Majeure
Neither Party will be responsible for any failure to perform due to causes beyond its reasonable control (each a "Force Majeure"), including acts of God, war, riot, acts of civil or military authorities, fire, floods, earthquakes, accidents, public health crisis, quarantine, strikes, or fuel crises.
